This Limitation of Liability Policy sets out the maximum extent of IECC's financial exposure to Users and third parties in connection with The Ivory Index Software and related services. It supplements and should be read together with the EULA.
Article II — Aggregate Liability Cap
IECC's total aggregate liability to any User for all claims arising out of or relating to the Software, these terms, or any related service, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed:
USD 100, where the Software is provided at zero charge to the User; or
The total fees paid by the User to IECC in the twelve (12) months preceding the claim, where fees have been charged.
The zero-fee cap reflects the absence of consideration flowing from the User to IECC and the consequential reduction in IECC's assumed risk allocation.
Article III — Excluded Categories of Loss
To the maximum extent permitted by applicable law, IECC shall not be liable for:
Loss of profits, revenue, or business opportunity
Loss of data or corruption of data on the User's device
Loss of goodwill or reputation
Admissions outcomes, scholarship decisions, visa determinations, or employment results
Indirect, incidental, special, consequential, or punitive damages
Third-party claims against the User arising from the User's use of the Software
Losses arising from the User's reliance on unverified AI outputs
Losses arising from the User's violation of institutional academic integrity policies
Losses arising from false, misleading, or inaccurate information supplied by the User
These exclusions apply even if IECC has been advised of the possibility of such losses.
Article IV — Consumer Law Carve-Out
Nothing in this Policy limits or excludes IECC's liability for: (i) death or personal injury caused by IECC's proven negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot lawfully be excluded or limited under applicable mandatory consumer protection law.
Where mandatory consumer protection law applies and cannot be contractually waived, IECC's liability shall be limited to the minimum extent required by such law. The zero-fee nature of the Software means that claims based on paid consideration are not available.
Article V — Cooling-Off & Withdrawal
To the extent any applicable mandatory consumer law grants a right of withdrawal or cooling-off period, Users may exercise such rights by contacting legal@imperialecc.com within the applicable statutory period. Where the Software is provided at zero charge, monetary refund is not applicable; withdrawal rights relate to cancellation of any service arrangement.
Article VI — Governing Law
Intended Governing Law: Cayman Islands. This Policy is intended to be governed by the laws of the Cayman Islands upon IECC's incorporation therein. Until such incorporation, disputes may additionally be brought before any court having mandatory jurisdiction under applicable law.
