Indemnification Policy

Article I — User Indemnification Obligation

You agree to defend, indemnify, and hold harmless IECC, its officers, directors, employees, agents, licensors, and successors ("IECC Parties") from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Article II — IECC Indemnification (Limited)

IECC will defend you against third-party claims that the Software (excluding User content and third-party AI models) directly infringes a registered intellectual property right, provided that you: (i) promptly notify IECC in writing of the claim; (ii) grant IECC sole control of defence and settlement; and (iii) provide reasonable cooperation. IECC's obligation under this Article is subject to the aggregate liability cap in the Limitation of Liability Policy.

Article III — Exclusions from IECC Indemnification

IECC has no indemnification obligation for claims arising from: User modifications to the Software; combination of the Software with third-party products or services; User's failure to use an updated version after notification of an infringement issue; or claims based on User-generated content.

Article IV — Indemnification Procedure

The indemnified party shall: (i) provide prompt written notice of the claim; (ii) not make admissions or settlements without the indemnifying party's prior written consent; and (iii) cooperate fully in the defence. Failure to provide timely notice relieves the indemnifying party of its obligations to the extent prejudiced by such delay.
