Article I — Parties & Entity Structure

This End-User Licence Agreement ("Agreement") is entered into between you ("User") and the individual, partnership, business entity, or designated operating entity operating The Ivory Index and the AOArose brand at the time of your acceptance ("IECC", "Company", "we", "us"). The contracting party on IECC's side shall be the entity identified during onboarding, purchase, registration, or service activation. IECC operates under the intended brand name Imperial Eminence Cyberguard Corporation; its intended future registration is in the Cayman Islands.

No Fiduciary Relationship. Nothing in this Agreement, in the operation of The Ivory Index, or in any interaction between you and IECC creates a fiduciary duty, advisory relationship, agency, partnership, joint venture, or employment relationship of any kind. IECC is a software licensor only.

Article II — Grant of Licence

Subject to your compliance with this Agreement, IECC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use The Ivory Index solely for your personal, non-commercial admissions preparation purposes on devices you own or control.

Article III — Admissions Disclaimer

No Guarantee of Outcome. The Ivory Index is an admissions preparation tool only. IECC does not guarantee, warrant, or represent any particular outcome including but not limited to: admission to any educational institution; scholarship award or financial aid determination; ranking, percentile, or evaluation outcome; interview invitation; visa approval; employment outcome; or any other third-party decision. All outputs are AI-generated suggestions subject to mandatory User review. Institutions make their own independent admission decisions and are not affiliated with IECC.

Article III-A — Intellectual Property

3A.1 User Content

Personal statements, essays, and written materials you draft using the Software remain your intellectual property. IECC claims no ownership over your original creative works.

3A.2 AI-Assisted Content

Content generated with AI assistance may not meet the legal threshold for copyright protection in certain jurisdictions. IECC makes no warranty as to the originality, uniqueness, or protectability of AI-generated outputs. You are solely responsible for reviewing, editing, and taking ownership of all submitted materials.

3A.3 Evaluation Outputs

IECC retains ownership of the evaluation methodologies, algorithms, and scoring frameworks underlying all outputs. Users receive a perpetual, non-exclusive licence to use, reproduce, and share evaluation outputs relating to their own content (including exporting and sharing with advisers or institutions). This licence does not extend to commercialising or reselling such outputs. IECC retains all rights in the underlying generation methodology.

3A.4 Software IP

The Ivory Index software, including all source code, algorithms, models, UI design, documentation, and brand assets, is the exclusive intellectual property of IECC. No rights are granted except the limited licence expressly set out in Article II.

3A.5 Model Weights

IECC makes no claim to ownership of third-party AI model weights (including Ollama-distributed models). Such models are subject to their respective open-source licences. IECC's licence covers only the Software layer that interfaces with such models.

Article IV — Local Data Architecture

The Ivory Index operates on a local-first architecture. Your profile data is stored exclusively at ~/.theivorry/profiles/{"{id}"}/ on your local device. The Software is architecturally designed not to transmit your personal data to IECC or third-party servers, except to the extent required for: (i) functionality you explicitly request (such as fetching institution data); (ii) security or integrity verification; (iii) legal or regulatory compliance; or (iv) user-requested services that inherently require network communication. IECC does not operate cloud storage for User profile data.

Website vs Software. This data statement applies to the Software. The AOArose/IECC website may use third-party services (such as Google Fonts, which may log your IP address) governed by separate privacy disclosures.

Article V — Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, UNINTERRUPTED OPERATION, OR ERROR-FREE PERFORMANCE. IECC DOES NOT WARRANT THAT AI-GENERATED OUTPUTS ARE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR ANY PURPOSE.

Article VI — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IECC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) USD 100. IN NO EVENT SHALL IECC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR ADMISSIONS OUTCOMES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Where the Software is provided at zero charge, IECC's maximum aggregate liability shall be USD 100, and consumer protection arguments based on paid-consideration shall not apply.

Article VII — Term & Termination

This Agreement is effective upon your first use of the Software and continues until terminated. IECC may terminate or suspend your licence immediately upon material breach. Upon termination, you must cease all use and delete all copies of the Software. Provisions that by their nature should survive termination (including Articles III, III-A, V, VI, VIII) shall survive.

Article VIII — Governing Law & Dispute Resolution

Intended Governing Law: Cayman Islands. This Agreement is intended to be governed by the laws of the Cayman Islands upon IECC's incorporation therein. Until such incorporation, disputes may additionally be brought before any court having mandatory jurisdiction under applicable law. Nothing in this clause prevents a party from seeking urgent interim or injunctive relief before any competent court.

Article IX — General

Entire Agreement. This Agreement constitutes the entire agreement between you and IECC regarding the Software and supersedes all prior representations, understandings, and agreements.

Severability. If any provision is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

No Waiver. Failure to enforce any provision shall not constitute a waiver of future enforcement rights.

Updates. IECC may update this Agreement by posting a revised version. Continued use after the effective date of any revision constitutes acceptance.
