Acceptance Certificate

This Acceptance Certificate ("Certificate") confirms that the deliverables or services described in the applicable Order Form or Statement of Work ("SOW") have been reviewed and accepted by the Customer pursuant to the agreed acceptance criteria.
Customer confirms that the above deliverables:
Upon execution of this Certificate: (i) the applicable milestone payment becomes due within the payment terms; (ii) risk in the deliverables passes to Customer; (iii) the warranty period commences as specified in the SOW; and (iv) Customer is deemed to have waived all claims arising from defects that were apparent or discoverable during the acceptance testing period.
Latent Defects. Acceptance does not waive Customer's rights in respect of defects that materially impair core contractual functionality and which: (i) were not apparent or discoverable through reasonable acceptance testing; and (ii) could not reasonably have been identified during the acceptance testing period exercising ordinary skill and care. Minor, cosmetic, or non-material defects do not constitute latent defects giving rise to post-acceptance claims.
